These Subscription Terms and Conditions (“Subscription Terms”) apply to subscription purchases made through our website and form part of the Terms of Service of THRIVE ON FIVE (“Thrive On Five”, “we”, “us”, “our”). In the event of a conflict between these Subscription Terms and the Terms of Service, these Subscription Terms will govern for subscription-related matters.

1. Overview and Scope

The subscription offering (the “Subscription”) allows customers to receive eligible THRIVE ON FIVE products on a recurring basis at the frequency selected at checkout. These Subscription Terms govern the specific conditions that apply to Subscriptions, in addition to our Terms of Service, Privacy Policy, and Refund Policy (where applicable).

2. Eligibility and Account

By purchasing a Subscription, you represent that you are at least the age of majority in your state or province of residence and that the information you provide (including email address, billing, payment, and shipping information) is accurate, current, and complete. You are responsible for maintaining the security of your account credentials and all subscription activity under your account.

3. Subscription Products and Details

Subscription details—including products, pricing, delivery frequency, discounts (if any), and available options—are displayed on the relevant product pages and at checkout. Product descriptions, formulations, packaging, and availability may change from time to time at our sole discretion, subject to applicable law.

4. How the Subscription Contract is Formed

A Subscription is confirmed when you complete the checkout process and receive an order confirmation email from THRIVE ON FIVE. We reserve the right to accept or decline subscription orders at our discretion, including for suspected fraud, misuse, or operational limitations. Your Subscription may not be active until payment is successfully processed.

5. Billing, Renewal, and Payment Authorization

  1. Recurring billing: By purchasing a Subscription, you authorize THRIVE ON FIVE to charge your selected payment method automatically on a recurring basis (monthly, quarterly, annual, or as shown at checkout) prior to each shipment or delivery cycle.
  2. Payment processing: Your Subscription renews automatically unless canceled in accordance with these Subscription Terms. If a charge fails, we may retry your payment method and/or suspend or cancel shipments until payment is received.
  3. Prices, taxes, and fees: Prices are subject to change in accordance with Section 6. Unless expressly stated, posted prices may not include taxes, shipping, handling, customs, or import charges.

We may change subscription prices due to increases in costs or other business reasons. If we make a material price change to your Subscription, we will provide notice in accordance with applicable law and/or our Terms of Service. If you do not agree to the new price, you may cancel your Subscription before the new price takes effect.

7. Shipping and Delivery

  1. Delivery schedule: Shipments are made based on the delivery frequency selected at checkout.
  2. Delays: Delivery times are estimates only and not guaranteed. We are not liable for shipping or delivery delays caused by carriers, customs processing, or events outside our control.
  3. Risk of loss: Once we transfer products to the carrier, title and risk of loss pass to you.

8. Changes, Skips, and Cancellations

  1. Managing your Subscription: You may manage your Subscription (including updating your address, payment method, and delivery settings) through your account area, where available.
  2. Cancellation: You may cancel your Subscription at any time, and your cancellation will take effect for future renewals once processed. If a renewal payment has already been processed or an order has already been prepared for shipment, that order may still ship and be charged, subject to our Refund Policy.
  3. No retroactive cancellation: Cancellation does not apply retroactively to already-processed renewal charges or shipped orders, except where required by applicable law or stated in our Refund Policy.

9. Returns, Refunds, and Withdrawal Rights

  1. Refund Policy applies: Subscription purchases are subject to return or exchange solely in accordance with our Refund Policy [LINK].
  2. Right of withdrawal (where applicable): Where a statutory right of withdrawal applies, it generally does not apply to sealed goods that are not suitable for return for health protection or hygiene reasons once unsealed after delivery.
  3. Condition of returned goods: If a return is authorized, products must be returned in original packaging and in unused/undamaged condition, unless otherwise required by law or stated in our Refund Policy.

10. Gifts, Free Items, and Promotions

From time to time, we may include free items, gifts, or promotional products as part of a Subscription. Unless required by law, these items are non-refundable and non-exchangeable. If a return is approved for a subscription order that included free items, we may require the free items to be returned as a condition of refund, where permitted by law and stated in the relevant offer terms.

11. Suspension or Termination by THRIVE ON FIVE

We may suspend or terminate your Subscription, with or without notice, if we reasonably believe there has been misuse, fraud, violation of our Terms of Service, or other unlawful activity, or if required for operational or compliance reasons. You remain responsible for any amounts due up to and including the date of termination.

12. Disclaimer of Warranties and Limitation of Liability

All disclaimers of warranties and limitations of liability set out in our Terms of Service apply to Subscriptions and subscription products to the fullest extent permitted by law.

13. Governing Law

These Subscription Terms and any subscription-related disputes shall be governed by and construed in accordance with the laws and courts in the jurisdiction where THRIVE ON FIVE is headquartered, as set out in the Governing Law section of our Terms of Service.

14. Changes to Subscription Terms

We may update these Subscription Terms from time to time by posting an updated version on our website. Your continued participation in the Subscription after changes take effect constitutes acceptance of the updated Subscription Terms, to the extent permitted by law.
